Main Duties & Responsibilities
This position provides legal support for public company compliance, legal maintenance, governance, tax collaboration, transactional activity and special projects.
Essential Duties and Responsibilities include the following. Other duties may be assigned.
Supports public company compliance activities and related filings (including primary responsibility for Section 16 filings and organizational responsibility for the annual proxy).
Assists with preparation of the TriMas Board and Committee materials and meetings; lead responsibility for organization of annual shareholder meeting.
Manages director and officer questionnaire process and the Board portal.
Lead responsibility for corporate maintenance of TriMas worldwide entities.
Leads organization of outside counsel, collaborates with tax /finance and manages related documentation for corporate restructuring projects.
Supports transactional activity (due diligence and closing deliveries).
Supports General Counsel and other members of the Legal team on special projects.
Qualifications
Education and/or Experience
Required: Associate's degree or equivalent from two-year college or technical school; and five years related experience and/or training; or equivalent combination of education and experience.
Preferred: Bachelor's degree from four-year college or university; and five year related experience and/or training; or equivalent combination of education and experience.
Certificates, Licenses, Registrations
Paralegal certificate accredited institution (preferred).
Language Skills
Ability to speak and write effectively; communicate complex topics in a clear manner
Other Skills and Abilities
Research skills, analysis of regulations, and understanding of corporate formalities. Experience in a professional office environment utilizing multi-tasking and administrative skill sets. Ability to meet deadlines consistently; excellent attention to detail; problem solver; and strong initiative.
